Please read these Terms and Conditions (“Terms”) carefully before using SuiteStream (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Interpretation and Definitions
Definitions (capitalized terms have the meanings below):
- “Application” means the SuiteStream software programs and components provided by the Company, including any administrative portal and background services.
- “Customer-Configured Features” means any functionality in the Service that allows you to configure, initiate, manage, schedule, or alter data replication, schema updates, or related processes.
- “Data Loss” means any partial or total loss, corruption, duplication, inaccessibility, or unintended modification of data (including replicated data) that may occur in connection with use of the Service.
- “Third-Party Services” means external systems and services used with the Service (including but not limited to NetSuite, SuiteAnalytics/ODBC, cloud providers, database servers, and email providers).
- “You” or “Customer” means the individual or entity using the Service.
Other definitions remain as set forth in any prior written agreement between you and the Company, if applicable.
2. Acknowledgment
These Terms form a legally binding agreement between you and WEGOTCODE LLC (“Company”). By using SuiteStream—including Customer-Configured Features—you accept these Terms in full. If you do not agree, do not use the Service.
3. Customer Responsibilities
3.1 Configuration at Your Own Risk
You are solely responsible for configuration changes made via the Service, including how those changes impact replication behavior, schema updates, data integrity, system performance, and downstream reporting.
Important: Some actions (including table rebuilds, schema changes, or replication mode changes) may result in irreversible changes or Data Loss.
3.2 No Data Loss Guarantee
The Company does not guarantee against Data Loss, corruption, duplication, or unintended outcomes resulting from:
- Your misconfiguration or misuse of Customer-Configured Features;
- Third-party system changes, outages, limitations, or incompatibilities (including vendor schema changes and connector behavior);
- Insufficient permissions, access controls, or credential management maintained by you;
- Failure to follow documentation, warnings, or guidance provided by the Company;
- Network disruptions, resource constraints, throttling, timeouts, or other environmental factors outside the Company’s control.
3.3 Backups and Redundancy
You are responsible for implementing and maintaining appropriate backups and disaster recovery measures for any systems and data affected by the Service, including your NetSuite environment and your target database(s). You are also responsible for verifying replication results prior to relying on replicated data for business decisions.
3.4 Acceptable Use and Security
You agree not to use the Service in a manner that compromises security, performance, or availability (including attempts to bypass limits, overwhelm systems, or access data you do not have the right to access). You are responsible for safeguarding credentials, tokens, and access to any administrative accounts.
4. Service Availability and Modifications
The Company does not guarantee uninterrupted or error-free operation of the Service. Maintenance, updates, upgrades, and interruptions may occur. The Company may modify, suspend, or discontinue features at any time, including to address security, compliance, performance, or third-party changes.
5. Subscriptions, Fees, and Refunds
Subscription plans, billing cycles, and fees are as presented at checkout or in your order form. Unless otherwise stated in writing, fees are non-refundable. No refunds are offered for outcomes resulting from customer misconfiguration or misuse of Customer-Configured Features.
If your subscription includes limits (for example, table counts, environment limits, or usage thresholds), you agree not to exceed those limits. If you require higher limits, contact the Company for plan options.
6. Termination
The Company may suspend or terminate your access to the Service if you violate these Terms, fail to pay fees when due, or misuse the Service in a way that threatens the integrity, security, or availability of the Service or other customers.
Upon termination, you remain responsible for any fees incurred through the termination date and for maintaining your own backups and data retention.
7. Limitation of Liability
To the fullest extent permitted by law:
- The Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or loss of goodwill arising from or related to your use of (or inability to use) the Service.
- The Company’s total liability for any claim arising from or related to the Service will not exceed the fees paid by you to the Company in the twelve (12) months preceding the event giving rise to the claim, or $100 USD, whichever is greater.
8. Indemnification
You agree to indemnify, defend, and hold harmless the Company from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from:
- Your violation of these Terms;
- Your misuse or misconfiguration of Customer-Configured Features;
- Your breach of applicable law or third-party rights;
- Third-party claims arising from your use of the Service or your data.
9. Governing Law and Disputes
These Terms are governed by the laws specified in your applicable order form or, if none, the laws of the Company’s primary place of business, without regard to conflict of law principles. Any disputes will be resolved as set forth in your applicable order form or other written agreement.
10. Changes to These Terms
The Company may modify these Terms from time to time. Material changes will be posted on this page with an updated “Last Updated” date. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
